    On July 21, the Connecticut Office of Health Strategy (OHS), sent a letter to physicians reminding them that certain practice transactions must obtain Certificate of Need (CON) approval before closing. OHS warned that those who do not seek CON approval for such transactions could be subject to civil penalties of $1,000 per day. The Office encouraged use of the CON Determination process for advance decisions as to whether CON approval is needed for a particular deal. Notwithstanding this letter, there have been no statutory or regulatory changes to the kinds of transactions requiring approval, but it is clear that OHS is closely monitoring the physician practice landscape and will scrutinize practice transactions. Those parties contemplating deals involving physician practices should carefully consider all options for structuring such transactions and thoroughly analyze the potential need for CON approval.
